Novartis cierra compra del resto de Alcon en $ 40bn

Como anunciamos en su momento Novartis optó por cerrar la compra a Nestlé del resto de Alcon.
Y tiene planes de "ir por el resto"

"Novartis then plans to spend a further $11.2bn on buying the remaining 23% stake it does not own in Alcon.

The acquisition is expected to help Novartis diversify its business away from prescription drugs."

Del lado de Alcon la situación no parece bien recibida.

"Alcon, a majority-controlled entity since it became a public company in 2002, established certain protections in its governing documents for the benefit of its minority shareholders."

"Following Novartis' initial purchase from Nestle of an approximately 25 percent stake in Alcon, the Alcon Board of Directors recognized the need for the establishment of a standing committee of independent directors whose stated purpose is to protect the minority shareholders in connection with a number of transactions, including related party transactions between Alcon and major shareholders of Alcon."

Y, según previsto y anunciado acá..., uno paga (NOVARTIS) y otro se lleva el dinero (NESTLE) pero...ellos son suizos y, seguro, se entienden...


"El acuerdo, que comenzó el 2008 cuando Novartis adquirió un 25% en Alcon y una opción para quedarse con la participación restante en manos de Nestlé, terminará por costarle a la farmacéutica de Basilea, Suiza, US$49.700 millones. La operación supera los US$46.800 millones que Roche Holding AG pagó por la firma estadounidense de biotecnología Genentech por US$46.800 millones el año pasado."
