BAYER: Nuevo CEO...Joerg Reinhardt (ex-Novartis) o..."Nuestro hombre en BAYER..."

La noticia, los comunicados de prensa estan en la calle: Joerg Reinhardt será, desde agosto, el nuevo CEO en Bayer HealthCare AG.

En PHARMACOSERÍAS hemos seguido (y especulado) sobre las "movidas" internas en Novartis.

No hemos acertado o estamos ante "Nuestro hombre en Bayer..."?


Por otro lado descubrimos una interesante publicación en Chile, CTSBRIEF, que se posiciona como "Revista electrónica sector farmacéutico internacional".
El pasado 26 de abril publica una nota firmada por José María Cabral que llama nuestra atención:

Nuevo CEO para el negocio farmacéutico de Bayer

De ella:

"Desde que a fines del primer trimestre del año pasado, circularan rumores –y no era la primera vez- de que la firma suiza Novartis podría estar interesada en el negocio farmacéutico de Bayer, el mercado ha venido siguiendo con especial atención las novedades producidas en la compañía alemana.

En su momento, la versión tuvo poca verosimilitud por las dificultades que plantearía una operación de este tipo, tomando en cuenta la compleja estructura del conglomerado alemán. Sin embargo, cuando un poco más de seis meses atrás, Bayer anunció que en Octubre de este año asumiría el Dr. Marijn Dekkers como nuevo CEO de la compañía, nuevamente reaparecieron las especulaciones.

Muchos pensaron que la designación de Dekkers -el primer CEO que no proviene de las propias filas de la compañía, un especialista en reestructuración de empresas y un experto en fusiones y adquisiciones- podría estar indicando las intenciones de Bayer de proceder finalmente a reestructurar la empresa, separando claramente sus distintas unidades de negocio."

Es probable que ahora se inicie una nueva ola de especulaciones, con el anuncio de Bayer del 21 de Abril pasado, en el que comunica la designación de Joerg Reinhardt, como el nuevo CEO de su poderoso negocio farmacéutico (Bayer Healthcare). Sucede que Reinhardt, un hombre que desarrolló la mayor parte de su carrera en Novartis, era el seguro sucesor de Vasella en la firma suiza, hasta que la empresa sorprendió al mercado eligiendo sin embargo a Joe Jimenez en enero de este año a la cabeza de la empresa. Al explicar la inesperada decisión acerca de su reemplazante, Vasella pronunció unas palabras extrañamente premonitorias: “No es una decisión en contra de nadie [Joerg Reinhardt], sino a favor de alguien [Jimenez]. Joerg podría ser un muy buen CEO, y no me sorprendería que terminara siendo CEO en algún lado”.

Y especula con bastante fundamento (al menos, según mi modesto entender, "entre líneas) y menciona "cabeza de playa":

"Pues bien, sucedió. Y nada menos que en Bayer. ¿Simple coincidencia? Aquellos que tienden a mirar bajo el agua, podrían desarrollar la siguiente hipótesis, cuya plausibilidad es, al menos, defendible dados los antecedentes mencionados: algo hay entre Novartis y Bayer, pero va a tomar tiempo porque primeramente la firma alemana debe reestructurarse para hacer viable la operación. Mientras tanto, Novartis ha establecido una “cabeza de playa” en Bayer para ir preparando la eventual fusión. Si esta especulación tuviera algún viso de verosimilitud, no se podría haber pensado en mejores nombres para llevar adelante el complejo plan: un reconocido experto en reestructuraciones y el ”casi” CEO de la misma Novartis. Brillante ¿no es cierto?"

Will Novartis sell its big stake in crosstown rival Roche

That’s been the question for years now, as Big Pharma worked its way through blockbuster patent expirations and restructured to compensate--and the queries only grew louder after new chairman Joerg Reinhardt promised to look at all of Novartis’ assets for potential sale.

Now, the answer appears to be yes. 

Swiss newspaper Sonntagszeitung reported on Sunday that Novartis is working with investment banks to line up potential buyers for the 13.5 billion francs’ worth of Roche. Novartis wants to sell to institutional buyers rather than unload the stock on the open market, partly because it wants to collect a premium on the current trading price. 

 The Novartis stake amounts to 33% of Roche’s voting shares, and as Bernstein analyst Tim Anderson pointed out in a Sunday investor note, assembling this large a block of voting shares wouldn’t be an easy task on the open market. But as the Sonntagszeitung says, Roche plans to remain independent in any case--and the Oeri and Hoffman families still own a controlling interest--so owning such a large block might not interest many investors.

The Sonntagszeitung’s sources say that unloading the Roche stake is one of Reinhardt’s “highest priorities.” 

Novartis has considered a few other sale options in the past, including handing out the Roche shares as a dividend to its own shareholders, the newspaper notes. Novartis also weighed swapping its shares back to Roche, but Roche has repeatedly indicated that it’s not interested. 

This time around, Novartis wants to take bids from select investors, to make sure that the buyers would be acceptable to Roche, the newspaper says. 


Rumors have also swirled that Novartis pushed Roche for a merger. That talk heated up in 2014, after Reinhardt took over as chairman.

Reinhardt met with outgoing chairman Franz Humer and exchanged messages with incoming chairman Christoph Franz. "Two pharma groups working in the same location have many topics in common," Reinhardt said at the time, but disavowed any interest in a merger. 

Reinhardt also said that he intended to hang on to the Roche shares--“For as long as Roche does well, we take pleasure in them,” he said--but the company soon after indicated that it would be open to selling its stake. 

The big question isn’t to whom Novartis might sell its chunk of shares, but what it might do with the proceeds, Anderson points out. Will the company make a deal? “This is distinctly possible--Novartis is in a time of need, having had setbacks with both Alcon and Entresto, and investor sentiment is languishing,” the analyst said in his Sunday note.

Joerg Reinhard, hasta ahora CEO en la unidad de vacunas de Novartis ha sido nombrado para un nuevo y más importante puesto en la organización.

Novartis investors want the company to tighten up. At the company’s Friday annual meeting—barely a week after Greek lawmakers officially opened a bribery investigation into 10 politicians there—shareholders said top brass needs to be more vigilant.

But the allegations in Greece are just the latest in a series of scandals that forced those changes, including bribery in North Korea and data-tampering in Japan. And shareholders warned the Novartis board Friday that it may not have done enough to keep employees in line.

The alleged bribery scheme in Greece goes back a decade and encompasses 10 former ministers. Among the allegations are that Greece’s health minister from 2006 to 2009 took €40 million ($49 million) in exchange for ordering “a huge amount” of Novartis products, while the health minister working between 2009 and 2010 allegedly accepted €120,000 ($147,000) from the company and laundered it through a computer hardware firm.

The politicians named in the probe have called the allegations spurious and attacked the whistleblowers themselves. In addition to the parliamentary probe there, U.S. and Swiss authorities are said to be looking into the accusations, which initially surfaced last year when three anonymous Novartis employees turned whistleblower. Novartis itself has launched an internal investigation.

On Friday, Chairman Joerg Reinhardt again promised that staffers and managers in Greece will bear the consequences if they behaved illegally or unethically. “If anybody was responsible for any misdeed, we will act accordingly,” Reinhardt said.

Given the morass of allegations in Greece—and the subsequent political infighting that has made the investigation a media sensation there—Novartis is likely to remain in the headlines for some time. And that’s a big distraction at a time when the company needs to be focused on new launches and regulatory approvals, not legal problems.

According to Reuters, Mike Moran of the Swiss not-for-profit shareholders group Suishare, told the gathering Friday that he’s not convinced Novartis will break free of the scandal soon.

I think the Greek thing will be the swamp that keeps on giving,” Moran said. (Ver)

Après les départs de Daniel Vasella et de Franz Hummer, les relations entre les deux multinationales pharmaceutiques bâloises se sont normalisées. Un rapprochement dans la recherche de médicaments contre le cancer est-il envisageable?
– Je considère Roche comme un concurrent normal, ni plus ni moins. Je n’exclus donc pas l’examen d’une collaboration ponctuelle, si l’occasion se présente et que c’est dans l’intérêt de Novartis.
Des discussions ou des propositions sont-elles amorcées?
– Nous rencontrons de temps en temps des représentants de Roche, comme ceux d’autres sociétés. Il y a donc toujours des discussions informelles sur tel ou tel thème, mais je ne suis pas en mesure de confirmer quelque chose de concret. Quant au dossier de notre participation de 33,2% dans le capital de Roche, il n’est pas sur la table en ce moment. Il s’agit toujours d’un investissement à la fois stratégique et financier.

NOVARTIS / Reinhardt descarta "merger" con Roche.




Swiss pharma group Novartis will work more closely with rival Roche but rules out a merger, its chairman said in a newspaper interview on Sunday. 

 Asked whether the two companies wanted to stay independent, Joerg Reinhardt, who took over as Novartis chairman in August, told Swiss newspaper SonntagsZeitung: "Absolutely." 

He said, however, that he'd met outgoing Roche Chairman Franz Humer a few weeks ago and was also exchanging emails with his successor Christoph Franz. 

 "Two pharma groups working in the same location have many topics in common," he said. Both Roche and Novartis are based in Basel in north-western Switzerland. 

 Asked whether Novartis could sell its stake in Roche that was built up under his predecessor Daniel Vasella, Reinhardt said: "The shares are in good hands with us. For as long as Roche does well, we take pleasure in them.

 Novartis holds a third of Roche's bearer shares. 

 

In October, Roche Chief Executive Severin Schwan also knocked back speculation that the company could merge with Novartis

Reinhardt said in the interview Novartis hoped to conclude an ongoing review of its over-the-counter drugs, animal health and vaccines businesses by the end of the year. 

 "Then we will know if and how we have to change our structure and organisation," he said, adding discussions on possible buys or divestments were under way with partners. 

 "There are not many players and everybody talks to everybody," he said. 

 Novartis said in January it was looking at options for the three businesses and wanted the review to be completed by the end of summer. 

 Reinhardt said Novartis' profitability was only temporarily under pressure due to quality issues in the U.S. and Canada, the fact that the vaccines division was not profitable and falling sales of its former blockbuster Diovan. 

 "Our profitability will rise again," he said, without giving details. (Más)

Vasella...Adios: A rey "muerto" rey Joerg puesto.

Today in Basel, Novartis shareholders ratified Joerg Reinhardt's move into the chairman's seat. 


That might be considered the final, official farewell in former Chairman Daniel Vasella's long goodbye. 
But shareholders also approved other, more nitty-gritty changes in corporate governance that explicitly undo some of Vasella's work. 

It's as if the company has shut the door behind Vasella and called in house cleaners to dust away his fingerprints. "It strikes me as a deliberate attempt to officially call the end of the Vasella era at Novartis," Florian Wettstein, director of the Institute for Business Ethics at Switzerland's University of St. Gallen, told The Wall Street Journal. 

 If you've been following Novartis news lately, you know those nitty-gritty changes--the disbanding of two board committees that kept Vasella in the loop on M&A deals and executive pay, among other things--are just a small part of the ongoing overhaul there. The Swiss drugmaker sold off its blood diagnostics business, announced a strategic review of its other smaller businesses, and continued a global cost-cutting effort with layoffs, facility closures and consolidations, and more.

Obviously, the strategic review runs counter to Vasella's most obvious project--diversifying Novartis beyond the patent-dependent, risky pharma business. But there are more direct and personal shifts, too. As the WSJ points out, the company has nixed Vasella's long-time plans to build a $110 million training center next door to his lakeside home near Zurich. It's selling the 12.4-acre property, according to its annual report, perhaps to Vasella, who has an option to buy.

Novartis is also backing away from the exorbitant executive pay Vasella enjoyed. That's partly for political reasons; it was Vasella's controversial 72 million-franc non-compete agreement that helped push Swiss voters to approve new restrictions on executive pay. Though Novartis rescinded that deal, the damage was done--and now has to be repaired. (Más)

Those shareholders that have stuck with the Company have been well rewarded so our total shareholders return since creation of Novartis has exceeded that of our peers and the world pharma market. 

 Now, we’re now moving into a new phase of the Company and we’re sharpening the execution of our strategy and we’re strengthening the portfolio. So what does that look like? I want to reinforce the strategy of the company and that has not changed. Our strategy is to win through science based innovation that’s focused on high growth segments of healthcare

 Now let me touch on innovation. For over 10 years, we have been refining our approach to discovery and starts with the pathways approach continually focusing on future technologies as well as creating a unique culture in our research organization that leads to significant innovation. Now the pathways approach that we talk about involves studying molecular signaling networks within cells that are responsible for normal cell function. Algo "se mueve" en Novartis / De Daniel y...los leones

Daniel Vasella, the controversial Swiss executive who created drugmaker Novartis AG , unexpectedly said he will leave the board after 17 years, handing over to Bayer AG’s top health-care executive.
Vasella, who oversaw the 1996 merger of Sandoz AG and Ciba- Geigy AG that created Novartis, ceded the role of chief executive officer to Joe Jimenez in 2010.

Joerg Reinhardt, who left that year after losing out to Jimenez for the top job, will return and replace the 59-year-old Vasella as chairman, the Basel, Switzerland-based company said in a statement today.(Más)

Por qué...?

Daniel era un gran hombre de fe y orador. Cuando tuvo que elegir entre rezarle a Dios o enfrentar la muerte por sus creencias fue fiel a Dios.
Él fue protegido toda la noche por un ángel cuando fue arrojado en una fosa de leones.

Dieron a Daniel un trabajo superior en el reino de Darío porque él era un trabajador duro y fiel. Esto hizo poner celosos a otros príncipes.

El rey ordenó que Daniel fuera castigado dentro de la fosa de los leones. El rey esperaba que el Dios de Daniel lo entregara, diciendo, "El Dios tuyo, a quien tú continuamente sirves, él te libre".

Una larga piedra fue puesta sobre la fosa de los leones y fue sellada. El rey estaba tan preocupado por Daniel que no podía dormir en la noche.
Lo primero que hizo el rey a la mañana siguiente fue ir a ver si Daniel había muerto. Gritó para ver si Daniel estaba vivo y el le respondió, "Mi Dios envió su ángel, el cual cerró la boca de los leones, para que no me hiciesen daño".

NOVARTIS: Quién es Vasant Narasimhan, «Vas»



Joe Jimenez, sur le départ, sera remplacé par le directeur du développement des médicaments. Entré au laboratoire bâlois il y a 12 ans, Vasant Narasimhan doit relancer les ventes du groupe. 

Novartis change de tête. Son directeur Joseph Jimenez (57 ans) quittera ses fonctions fin janvier 2018, après près d’une décennie à la tête du géant pharmaceutique bâlois, a annoncé le groupe lundi matin dans un communiqué. «Un directeur général ne devrait pas rester plus de huit années à son poste», a justifié celui qui a été nommé patron de Novartis en 2010. Actuel directeur mondial du développement des médicaments et médecin-chef, Vasant Narasimhan prendra la direction opérationnelle du groupe dès le 1er février 2018.

D’origine indienne mais de citoyenneté américaine – comme Joe Jimenez –, Vasant Narasimhan est entré à Novartis en 2005. Aujourd’hui âgé de 41 ans, «Vas» (son surnom à l’interne) a vite gravi les échelons jusqu’à prendre la tête du développement des médicaments en 2010, sous l’aile de l’ancien directeur général Daniel Vasella. En 2015, le magazine Fortune l’intégrait à sa liste des personnes de moins de 40 ans les plus influentes au monde.

Accélérer la commercialisation Vasant Narasimhan s’est prononcé plusieurs fois, dans la presse, en faveur d’une meilleure utilisation de la technologie et des outils d’analyse prédictive pour accélérer le passage entre recherche et commercialisation des médicaments. Novartis, qui a obtenu la semaine dernière l’autorisation des autorités américaines pour lancer un nouveau traitement contre la leucémie (475 000 dollars par patient, soit 454 000 francs), avait été critiqué pour avoir raté un virage dans les immunothérapies contre le cancer, et les milliards de revenus qui en découlent.

«Vas est profondément ancré dans les sciences médicales», a souligné Joerg Reinhardt, président du conseil d’administration du laboratoire bâlois, dans un communiqué. Médecin de formation, le futur directeur de Novartis est aussi titulaire d’une maîtrise en politique publique de Harvard et d’une licence en biologie de l’Université de Chicago. «Il a une expérience significative dans la gestion de l’interface entre recherche et développement d’une part et les unités commerciales d’autre part, tout en ayant un bon sens des affaires avec un exceptionnel bilan de réalisations», a énuméré Joerg Reinhardt.

L’option de la continuité

Le changement de tête chez Novartis ne devrait pas impliquer un changement de cap dans la stratégie du groupe, ont souligné en téléconférence les dirigeants du groupe, qui prévoient une «transition en douceur». Joe Jimenez restera encore au sein du groupe pharmaceutique jusqu’à fin août en qualité de conseiller pour le conseil d’administration.


Après la fusion en 1996 de Ciba-Geigy et Sandoz (à l’origine de Novartis), sous le mandat de Daniel Vasella, la préoccupation de Joe Jimenez a davantage porté sur un recentrage des activités de Novartis, notamment autour des traitements anticancéreux et de la division des médicaments génériques de Sandoz. Un travail que devrait poursuivre le futur directeur général, relève un analyste de la banque Vontobel. Du côté de Morgan Stanley, on souligne le parcours et l’expertise de «Vas», rappelant qu’il s’est «fait progressivement remarquer par les investisseurs ces derniers trimestres», écrit l’analyste Vincent Meunier.

«Le monde a changé»

Un enthousiasme qui n’est pas partagé par tous les spécialistes. «Il reste encore à démontrer que la stratégie est bien en place et que Novartis peut réaliser son ambition de faire croître son secteur pharma, malgré l’expiration de ses brevets, temporise l’analyste d’UBS Michael Leuchten. Conséquence: Novartis a enregistré plusieurs résultats financiers décevants avec une stagnation de son chiffre d’affaires à 48,5 milliards de dollars en 2016. Lundi, en fin d’après-midi, l’action affichait un recul de 1% à 80,05 francs. Soit quelque 20% de moins que lors du pic de 2015. D’autre part, l’unité ophtalmologique de Novartis, Alcon, (valorisée entre 25 et 35 milliards de dollars) est toujours en redressement. Il reviendra au nouveau directeur de trancher quant à une éventuelle cession de la division.

SANDOZ: Listo para todo...



 

Novartis is keeping all options open for the future of its generics division Sandoz, its chairman said in an interview with Swiss TV channel TeleZüri to be broadcast on Tuesday.

Asked whether Novartis could merge Sandoz with either Israel's Teva or U.S.-based Viatris or divest it, Joerg Reinhardt said: "All options are open for us." He said listing Sandoz on the Swiss stock exchange, a merger or keeping the business were all possible.

"We said we'd look at that and make a decision within the next 12 months," he said.

Reinhardt said Novartis's innovative pharma business and the generics business had drifted further apart over the last years so it made sense to examine options now.

Novartis said last month it might divest Sandoz, as price pressures mount in the off-patent drug sector.


Asked how Novartis could use the proceeds from the sale of its Roche stake, Reinhardt said: "We prefer investing in our business rather than doing a share buyback. We'll decide that within the coming months."

Reinhardt didn't rule out acquisitions, saying it was important to see whether a possible target would strengthen Novartis's core business of oncology, cardiovascular and immunology.

"We'll examine, review and decide," he said.

A partir de hoy toma las riendas de una de las más importantes trasnacionales:

NOVARTIS.



Viene de la "salsa" (Heinz 1998-2006) y de AstraZéneca (
non-executive director 2002-2006).

Se incorpora a Novartis en abril 2007 como
CEO de la Consumer Health Division y, en octubre, como CEO de la Division Farmacéutica.

Su jefe (Vasella) que reserva la posición de Chairman Board of Directors, dice de él:


"...his self-discipline, and engagement that makes him an ideal CEO – at least as important is his poised composure and his sense of humor, which is also a great asset in this job
"

O alemão Joerg Reinhardt, que fez carreira na Novartis durante décadas e dirigia a divisão de vacinas, era apontado pelos analistas como o provável sucessor de Vasella. Mais recentemente, Reinhardt acumulou o cargo de chefe de operações da empresa. Mas o conselho de administração decidiu nomear Jimenez, por razões ainda não conhecidas. Além de perder o cargo, Reinhardt deixará a Novartis."
